Welcome to Retrip Inc., a Delaware corporation (“Retrip”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our SaaS platform for agencies, our agentic AI infrastructure, our websites, and any related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. General

1.2. Parties and Acceptance
1.2.1. These Terms & Conditions (“Terms”) govern your access to and use of Retrip’s services (“Retrip”, “we”, “us”, or “our”).
1.2.2. By accessing or using the Services (as defined in Section 2), you agree to be bound by these Terms.
1.2.3. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1.2.4. If you do not agree to these Terms, you must not use the Services.

1.3. Entire Agreement
1.3.1. These Terms, together with any applicable Order Forms, data processing agreements, and the Privacy Policy, constitute the entire agreement between you and Retrip regarding the Services.

2. Scope of Services

2.1. Definition of Services
2.1.1. “Services” means:
  2.1.1.1. The Retrip agency platform for travel agencies (internally “v1 SaaS”);
  2.1.1.2. Our agentic AI infrastructure, APIs, tools, and pay-as-you-go services (the “Agentic Services”);
  2.1.1.3. Any related websites, documentation, and support provided by Retrip.

2.2. Right to Modify Services
2.2.1. Retrip may introduce, modify, or discontinue specific features, modules, plans, or Services at any time, subject to Section 13.
2.2.2. Where you have a separate written agreement or Order Form with us, that document will prevail over these Terms in case of conflict.

3. Eligibility and Business Use

3.1. Age and Capacity
3.1.1. You must be at least 18 years old or the age of majority in your jurisdiction to use the Services.

3.2. Business Use Only
3.2.1. The Services are intended solely for business and professional use.
3.2.2. You represent and warrant that you are using the Services on behalf of a business or organization, not as a consumer.

3.3. Authority
3.3.1. You represent and warrant that you have the authority to bind the business or organization on whose behalf you are using the Services.

4. Accounts and Security

4.1. Account Registration
4.1.1. You may be required to create an account to access certain parts of the Services.
4.1.2. You agree to provide accurate, current, and complete information during registration and to keep it updated.

4.2. Account Security
4.2.1. You are responsible for maintaining the confidentiality of your login credentials.
4.2.2. You are responsible for all activities conducted under your account.
4.2.3. You must notify Retrip promptly at contact@retrip.ai if you suspect any unauthorized access or security breach.

5. Plans, Pricing, and Changes

5.1. Types of Plans and Pricing Models
5.1.1. Retrip may offer:
  5.1.1.1. Subscription-based access (e.g. seats, workspaces) for the v1 SaaS platform;
  5.1.1.2. Usage-based or pay-as-you-go pricing for Agentic Services (e.g. per operation, per task, per API call);
  5.1.1.3. Early-access, beta, or trial programs, which may be free or discounted.

5.2. Fees and Billing Cycles
5.2.1. Details of fees, billing periods, and usage metrics are described on our website or in your Order Form.
5.2.2. Retrip reserves the right to introduce new fees or modify existing fees, in accordance with Section 13.

5.3. Changes to Plans and Pricing
5.3.1. Material changes to plans or pricing for existing paying customers will generally apply at the start of the next billing period or upon renewal, unless otherwise agreed.
5.3.2. Retrip will provide reasonable notice of material price changes.

5.4. Usage and Fair Use

5.4.1. Your use of the Services, including both the v1 SaaS platform and the Agentic Services, is subject to reasonable technical and operational limitations (“Usage Limits”). Usage Limits may relate to, for example, volume of activity, frequency of requests, number of users, or similar factors, and may differ by plan or product.

5.4.2. Default Usage Limits (if any) may be described in the administrative interface, in documentation, or in an Order Form. Such Usage Limits are intended to protect the stability and security of the Services and do not constitute a guarantee of minimum capacity or performance.

5.4.3. Retrip operates the Services under a fair use principle. If your usage materially exceeds what would reasonably be expected for your plan or materially exceeds typical usage patterns for similar customers, or if it negatively impacts the Services or other users, Retrip may, acting reasonably and with or without prior notice: (a) throttle or temporarily restrict your access; (b) require you to move to a different plan or pricing model; or (c) suspend or limit access to certain features or the Services in accordance with these Terms.

5.4.4. For pay-as-you-go or usage-based components of the Services, usage will be measured based on metrics defined by Retrip and communicated in the product, documentation, or an Order Form. In case of discrepancy between your measurements and Retrip’s internal logs, Retrip’s measurements will prevail, unless an obvious technical error is demonstrated.

5.4.5. Even where a plan, feature, or promotion is described as “unlimited”, such use remains subject to: (a) reasonable and good-faith use; (b) technical and security constraints; and (c) Retrip’s right to apply fair use and anti-abuse protections so that the Services remain stable and available to all customers.

6. Payment Terms

6.1. Invoicing and Payment
6.1.1. Unless otherwise stated in an Order Form:
  6.1.1.1. Subscription fees are billed in advance;
  6.1.1.2. Usage-based or overage fees are billed in arrears.
6.1.2. Payments are due upon receipt of invoice or as specified in the billing interface.

6.2. Taxes
6.2.1. You are responsible for all applicable taxes, duties, and charges, excluding taxes based on Retrip’s income.

6.3. Non-Refundability
6.3.1. Fees are generally non-refundable, except where required by law or explicitly agreed in writing.

6.4. Late Payments
6.4.1. If you fail to pay fees when due, Retrip may, after prior notice:
  6.4.1.1. Suspend or limit your access to the Services; and/or
  6.4.1.2. Charge interest or late fees as permitted by law.

7. Customer Responsibilities

7.1. Configuration and Instructions
7.1.1. You are responsible for configuring agents, policies, workflows, and integrations in accordance with your business rules and legal obligations.
7.1.2. You must ensure that any credentials or access you provide to third-party systems are appropriate and limited to what is necessary.
7.1.3. You are responsible for reviewing and monitoring agent actions and outputs, especially in early or supervised modes.

7.2. Data and Consents
7.2.1. You are responsible for ensuring that you have the necessary rights and consents to provide data (including traveller data) to Retrip.
7.2.2. You are responsible for informing travellers or other data subjects, as required by law, about the use of their data in connection with Retrip.

7.3. Compliance with Laws
7.3.1. You must use the Services in compliance with all applicable laws and regulations, including data protection, consumer protection, and travel regulations.

7.4. Prohibited Uses
7.4.1. You must not:
  7.4.1.1. Misuse the Services or attempt to circumvent security;
  7.4.1.2. Use the Services to transmit spam, malicious code, or illegal content;
  7.4.1.3. Reverse engineer, decompile, or attempt to derive the source code of the Services, except where permitted by law.
7.4.1.4. Attempt to bypass, disable, interfere with, or otherwise circumvent any Usage Limits, metering, billing mechanisms, or technical controls implemented in the Services.

8. Data, Privacy, and Processing

8.1. Ownership of Customer Data
8.1.1. As between you and Retrip, you own all rights, title, and interest in and to your data, including traveller and booking data and any other information you upload or provide (“Customer Data”).

8.2. Use of Customer Data by Retrip
8.2.1. Retrip may use Customer Data solely to:
  8.2.1.1. Provide, maintain, and improve the Services;
  8.2.1.2. Secure the Services and prevent abuse;
  8.2.1.3. Fulfil obligations described in these Terms, the Privacy Policy, or an Order Form.

8.3. Privacy Policy
8.3.1. Your use of the Services is subject to the Retrip Privacy Policy, which is incorporated by reference into these Terms.
8.3.2. In case of conflict between these Terms and the Privacy Policy regarding data protection, the more protective provision for data subjects will apply, unless otherwise agreed.

8.4. Data Processing Agreements
8.4.1. Where required by law, Retrip is willing to enter into a separate data processing agreement (DPA) that governs our processing of personal data on your behalf.
8.4.2. You are responsible for the quality, legality, and accuracy of Customer Data and for determining appropriate retention periods on your side.

9. Third-Party Services and Integrations

9.1. Integrations
9.1.1. The Services may enable you to integrate with third-party services or systems, including but not limited to GDSs, consolidators, operators, payment gateways, and internal tools.
9.1.2. Integrations may be provided by Retrip, the third-party provider, or your own development team using our APIs.

9.2. Responsibility for Third-Party Services
9.2.1. Retrip is not responsible for the availability, performance, or terms of third-party services.
9.2.2. Your use of third-party services is governed by your agreements with those providers.
9.2.3. Retrip is not liable for how third-party providers handle your data.

10. Intellectual Property

10.1. Ownership by Retrip
10.1.1. Retrip and its licensors own all rights, title, and interest in and to:
  10.1.1.1. The Services, including all software, models, agents, APIs, and documentation;
  10.1.1.2. All improvements, modifications, and derivative works;
  10.1.1.3. All Retrip trademarks, logos, and branding.

10.2. License to Use the Services
10.2.1. Subject to your compliance with these Terms and payment of applicable fees, Retrip grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the term of your subscription or usage period, solely for your internal business purposes.

10.3. Restrictions
10.3.1. You may not sublicense, resell, or commercially exploit the Services except as expressly permitted in a separate written agreement with Retrip.

11. Feedback

11.1. Use of Feedback
11.1.1. If you provide feedback, suggestions, or ideas regarding the Services (“Feedback”), you grant Retrip a non-exclusive, worldwide, royalty-free, perpetual license to use such Feedback for any purpose.
11.1.2. Retrip has no obligation to compensate you for Feedback or to maintain it as confidential.

12. Confidentiality

12.1. Definition of Confidential Information
12.1.1. “Confidential Information” means non-public information disclosed by one party to the other that is marked or reasonably understood to be confidential.

12.2. Obligations
12.2.1. Each party agrees to:
  12.2.1.1. Use Confidential Information only for purposes of performing under these Terms;
  12.2.1.2. Take reasonable measures to protect Confidential Information from unauthorized disclosure.

12.3. Exceptions
12.3.1. Confidential Information does not include information that:
  12.3.1.1. Is or becomes public through no fault of the receiving party;
  12.3.1.2. Is lawfully obtained from a third party without confidentiality obligations;
  12.3.1.3. Is independently developed without reference to the disclosing party’s Confidential Information;
  12.3.1.4. Must be disclosed by law or court order, provided that the receiving party gives notice where legally permitted.

12.4. Specific Categories
12.4.1. Customer Data is considered your Confidential Information.
12.4.2. Retrip’s pricing, roadmaps, and technical documentation are considered Retrip’s Confidential Information.

13. Early Access, Beta, and Experimental Features

13.1. Beta Services
13.1.1. Retrip may offer features or services marked as “beta”, “preview”, “experimental”, “early access”, or similar (“Beta Services”).
13.1.2. Some agentic AI capabilities may be provided as Beta Services due to their early-stage nature.

13.2. Conditions for Beta Services
13.2.1. Beta Services may be provided with reduced or different security, compliance, or support levels.
13.2.2. Beta Services may be modified or discontinued at any time.
13.2.3. Beta Services are provided “as is” without warranties or service level commitments.
13.2.4. You should not rely on Beta Services for critical operations unless you accept the associated risks.

14. Modifications to Services and Terms

14.1. Modifications to the Services
14.1.1. Retrip is continuously evolving the Services, including the transition from the v1 SaaS platform to more advanced agentic infrastructure.
14.1.2. Retrip may add, modify, or remove features, user interfaces, workflows, or underlying technology.
14.1.3. Retrip may introduce new limits or policies to ensure safety and performance.

14.1.4. Without limiting the foregoing, Retrip may from time to time introduce, adjust, or remove Usage Limits, fair use policies, or technical safeguards for the Services in order to maintain security, performance, and overall service quality.

14.1.5. Where a change to Usage Limits has a material adverse impact on a paid plan, Retrip will provide notice where reasonably practicable, and such change will generally take effect from the start of the next billing period, except where earlier changes are required to address security, abuse, or system stability issues.

14.2. Modifications to the Terms
14.2.1. Retrip may update these Terms from time to time.
14.2.2. When material changes are made, Retrip will notify you, for example by email or through the Services.
14.2.3. The “Last updated” date at the top of these Terms indicates the latest version.
14.2.4. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

15. Warranties and Disclaimers

15.1. General Disclaimer
15.1.1. To the maximum extent permitted by law, the Services are provided “as is” and “as available”.
15.1.2. Retrip disclaims all warranties of any kind, express, implied, or statutory, including but not limited to:
  15.1.2.1. Warranties of merchantability;
  15.1.2.2. Fitness for a particular purpose;
  15.1.2.3. Non-infringement;
  15.1.2.4. Warranties that the Services will be uninterrupted or error-free.

15.2. Agent Outputs and Decisions
15.2.1. Retrip does not guarantee the accuracy, completeness, or suitability of outputs generated by agents, models, or integrations.
15.2.2. You are responsible for reviewing and assessing agent outputs before relying on them for critical decisions or communications.

16. Limitation of Liability

16.1. Exclusion of Certain Damages
16.1.1. To the maximum extent permitted by law, Retrip will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Services.

16.2. Liability Cap
16.2.1. To the maximum extent permitted by law, Retrip’s total aggregate liability arising out of or in connection with the Services or these Retrip’s total aggregate liability arising out of or in connection with the Services or these Terms will not exceed the amounts paid or payable by you to Retrip for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

16.3. Non-Excludable Liability
16.3.1. These limitations do not apply to the extent that applicable law does not allow them.

17. Indemnification

17.1. Your Indemnity Obligations
17.1.1. You agree to indemnify, defend, and hold harmless Retrip and its affiliates, officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
  17.1.1.1. Your use of the Services in violation of these Terms or applicable law;
  17.1.1.2. Customer Data or content you provide that infringes or violates any third-party rights;
  17.1.1.3. Any use of the Services by your employees, contractors, or agents in breach of your obligations.

18. Governing Law and Jurisdiction

18.1. Governing Law
18.1.1. These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

18.2. Jurisdiction
18.2.1. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, USA, for the resolution of any disputes arising out of or relating to these Terms or the Services, unless otherwise agreed in writing.

19. Miscellaneous

19.1. Assignment
19.1.1. You may not assign or transfer these Terms without Retrip’s prior written consent.
19.1.2. Retrip may assign these Terms in connection with a merger, acquisition, or sale of assets.

19.2. Severability
19.2.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3. No Waiver
19.3.1. The failure of either party to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

19.4. Notices
19.4.1. Notices to Retrip must be sent to contact@retrip.ai or to another contact address explicitly provided by Retrip.
19.4.2. Notices to you may be sent to the email address associated with your account or displayed within the Services.
